ARLOW TERMS OF SERVICE

PLEASE READ THESE TERMS OF SERVICE CAREFULLY. BY CLICKING“ACCEPTED AND AGREED TO,” YOU ARE AGREEING TO THESE TERMS AND CONDITIONS.

These Arlow Termsof Service (these “Terms”) are a legally binding contract between ProjectAging, Inc. (“Project Aging”) and you, as a user of Project Aging’s PlatformArlow (“Arlow”). You agree that when you access or use Arlow, you willdo so subject to these Terms. DO NOT ACCESS OR USE ARLOW IF YOU ARE UNWILLING OR UNABLE TO BE BOUND BY THESE TERMS.

“PrimaryUser” means the person around whom the services of Arlow are designed. If youare the Primary User, you have access to all features of Arlow and, as PrimaryUser, you may grant permission to other users to use Arlow and may also limitor grant access to these additional users (who are referred to in these Termsas an “Authorized User”).

Any person who accesses or uses Arlow, whether as an Authorized User or the Primary User,is a “User.”

THESE TERMS CONTAIN A MANDATORY INDIVIDUAL ARBITRATION AND CLASS ACTION/JURY TRIAL WAIVERPROVISION THAT REQUIRES THE USE OF ARBITRATION ON AN INDIVIDUAL BASIS TORESOLVE DISPUTES, RATHER THAN JURY TRIALS OR CLASS ACTIONS.

Pleasereview our Privacy Policy (located at https://www.arlow.ai/legal/privacy-policy)which explains how we collect, use, and share information about you when youaccess or use Arlow and forms a part of these Terms. By accepting these Terms,you are agreeing to the processing of your information in accordance with thisPrivacy Policy. These Terms are effective as of the date you first access Arlow(the “Effective Date”).

1. CHANGES TO THESE TERMS. Project Aging may amend these Terms (including the Privacy Policy) fromtime to time by posting an amended version at its website and updating the“Revised/Updated” date at the top of these Terms. If such amendment materiallyreduces Your rights or protections, Project Aging shall send You written noticethereof. Your continued use of Arlow following the effective date of anamendment will confirm Your consent to the amendment.

2. ABOUT THE PLATFORM. Arlow is an AI-powered advisordesigned to simplify, personalize, and support those aging and the people whocare for them by providing non-medical information, guidance and support. Arlowdelivers this through proactive and re-active recommendations, informationalcontent, medication-related educational support, potential medicationinteraction alerts, potential cost-savings information, and other non-medicalsolutions. Arlow also supports daily needs while keeping families, caregivers,and those aging seamlessly connected. Arlow is not a medical device, healthcare provider, pharmacy, pharmacist, physician, care manager, insurer, pharmacybenefit manager, or emergency service, and Arlow does not provide medical,clinical, pharmaceutical, diagnosis, treatment, prescribing, medicationmanagement, insurance, coverage, or reimbursement advice.

 3. USERS OF ARLOW

3.1.    Access andResponsibilities. Users of Arloware assigned roles with access limited to that necessary for their designatedrole. The Primary User has full administrative rights and can limit or grantaccess to Authorized Users on a user-by-user basis.

3.2.    Disclaimers.

(a)     Project Aging hopesthe services and recommendations provided by Arlow are beneficial to you but youunderstand, agree, and acknowledge that they may not be the appropriatesolution for your needs or your situation and that certain health and wellnessissues may be beyond the scope of Arlow. 

(b)     Arlow may providemedication-related educational information, including potential medicationinteraction risks, general medication safety information, and potentialopportunities to discuss lower-cost or comparable medications, includinggeneric alternatives. This information is provided for informational andeducational purposes only and is not medical, clinical, pharmaceutical,prescribing, medication management, insurance, coverage, or reimbursementadvice. Arlow does not determine whether any medication is safe, appropriate,effective, equivalent, available, covered by insurance, or suitable for anyUser. DONOT START, STOP, SWITCH, SUBSTITUTE, INCREASE, DECREASE, OR OTHERWISE CHANGEANY MEDICATION, SUPPLEMENT, DOSAGE, TREATMENT, OR PLAN OF CARE WITHOUT FIRSTCONSULTING THE PRIMARY USER’S PHYSICIAN, PHARMACIST, OR OTHER QUALIFIED HEALTHCARE PROFESSIONAL. Users should notrely on Arlow as the sole source of medication safety, interaction, pricing,coverage, or substitution information.

 (c)     IF YOU, AS THEPRIMARY USER, ARE THINKING ABOUT SUICIDE OR IF YOU ARE CONSIDERING HARMINGYOURSELF OR OTHERS OR IF YOU, AS AN AUTHORIZED USER, FEEL THAT THE PRIMARY USERMAY BE IN ANY DANGER OR IF THE PRIMARY USER HAS A MEDICAL EMERGENCY, YOU MUSTIMMEDIATELY CALL YOUR LOCAL EMERGENCY SERVICES NUMBER AND NOTIFY THE RELEVANTAUTHORITIES. ARLOW IS NOT DESIGNED FOR USE IN ANY OF THE AFOREMENTIONED CASESAND CANNOT PROVIDE THE ASSISTANCE REQUIRED IN ANY OF THE AFOREMENTIONED CASES.IF YOU PROCEED TO USE ARLOW NOTWITHSTANDING THIS NOTICE, YOU DO SO ENTIRELY ATYOUR OWN RISK. 

(d)     DO NOT DISREGARD,AVOID, OR DELAY IN OBTAINING IN-PERSON CARE FOR THE PRIMARY USER FROM A DOCTOROR OTHER QUALIFIED PROFESSIONAL BECAUSE OF INFORMATION OR ADVICE RECEIVEDTHROUGH ARLOW.

 

4. USE OFARLOW IN GENERAL.

4.1.    Eligibility. You representand warrant that You are 18 years old or older, and You recognize and agreethat You must be 18 years old or older to use Arlow. 

4.2.   Subscription. During the Term, Project Aging grants You a limited, non-exclusive,non-sublicensable, revocable, non-transferable license to: (i) access and use Arlowsolely in connection with Your use of the App on Your personal device; and (ii)access and use any content, information, and related materials that may be madeavailable through the App, in each case, solely for Your personal,noncommercial use. Any rights not expressly granted herein are reserved by ProjectAging and its licensors. The “App”is a component of Arlow and is included in references thereto, except in provisionsthat separately address the App

4.3.    Restrictions onSoftware Rights. Copies of theApp created or transferred pursuant to these Terms are licensed, not sold, andYou receive no title to or ownership of any copy or of the App itself.Furthermore, You receive no rights to the App other than those specificallygranted in these Terms. Without limiting the generality of the foregoing, Youshall not: (a) modify, create derivative works from, distribute, publiclydisplay, publicly perform, or sublicense the App; (b) use the App in any wayforbidden by these Terms; or (c) reverse engineer, decompile, disassemble, orotherwise attempt to derive any of the App’s source code.

4.4.   Platform Revisions. Project Aging may revise the features and functions of Arlow at anytime.

5. YOUR CONTENT.

5.1.    Permission from You. You grant Project Aging permission to access, process, and otherwise useYour Content (as defined below) in order to provide Project Aging’s productsand/or services to you, to track and analyze your use of Arlow, and make YourContent available to other users of Arlow and other third parties. To theextent that you have intellectual property rights in Your Content, you grant ProjectAging a world-wide, perpetual, non-exclusive, royalty-free, sublicensable,transferable license to use and prepare derivative works from Your Content forthe purposes outlined in these Terms. You agree that Your Content is not anyperson’s or entity’s confidential information, including yours. As between theparties, You retain ownership of Your Content. (“Your Content” means anyContent transmitted by you, as the Primary User, or on Primary User’s behalf toProject Aging by an Authorized User. “Content” means text, images,photos, audio or video files, and other forms of data or communication.)

5.2.    Rights in YourContent. Yourepresent and warrant that you own Your Content or have received a validlicense to Your Content and that submitting or transmitting Your Content to orthrough Arlow will not violate the rights of any third party, including withoutlimitation intellectual property, privacy, or publicity rights. Project Aging isunder no obligation to review or screen Your Content or other Users’ Content.

5.3.    Accuracy. Project Aging hasno responsibility or liability for the accuracy of any Content submitted to ortransmitted through Arlow by you or another User, including without limitation YourContent.

5.4.    Right to Retain,Delete or Suspend Access. You must not rely on Arlow for backup or storage of Your Content. ProjectAging may retain Your Content even if you are no longer using Arlow, but ProjectAging is not required to give you copies of Your Content. Project Aging maypermanently delete or erase Your Content or suspend your access to Your Contentthrough Arlow at any time and for any reason.

6. PRIVACY.

6.1.    Privacy Policy& Compliance. The personal information youprovide through your use of Arlow may be subject to different state and federalprivacy laws including the Health Insurance Portability and Accountability Actof 1996 and its implementing regulations (“HIPAA”), Project Aging’s privacy policy at https://www.arlow.ai/privacy-policy (the “PrivacyPolicy”) details descriptions of Project Aging’s collection, use, and disclosureof personal information that may subject to or further restricted by therequirements of these laws. If Project Aging receives a “right to know,”deletion, “right to be forgotten,” or similar request related to Your Content, ProjectAging may respond in accordance with applicable law. Nothing in these Termsprecludes Project Aging from asserting rights or defenses it may have underapplicable law related to such requests. BY USING ARLOW, YOU ARE ALSO AGREEINGTO THE TERMS OF THE PRIVACY POLICY. THE PRIVACY POLICY IS INCORPORATED INTO ANDDEEMED A PART OF THESE TERMS. THE SAME RULES THAT APPLY REGARDING CHANGES ANDREVISIONS OF THE AGREEMENT ALSO APPLY TO CHANGES AND REVISIONS OF THE PRIVACYPOLICY.

6.2.    Risk of Exposure. YOU UNDERSTAND AND AGREE THAT SHARINGCONTENT ONLINE INVOLVES RISKS OF UNAUTHORIZED DISCLOSURE OR EXPOSURE AND THAT,IN SUBMITTING YOUR CONTENT TO OR TRANSMITTING IT THROUGH ARLOW, YOU ASSUME THOSERISKS. Project Aging offers no representation, warranty, or guarantee thatYour Content will not be exposed or disclosed through Arlow or through errorsor the actions of third parties.

7. YOURRESPONSIBILITIES & RESTRICTIONS.

7.1.   Acceptable Use. The followingis a partial list of the kinds of activities that are prohibited on or through Arlow:(a) submitting user content that is patently offensive, such as content thatpromotes racism, bigotry, hatred, or physical harm of any kind against anygroup or individual, (b) engaging in activities or submitting content thatcould be harmful to minors; (c) engaging in activity or submitting content thatharasses or advocates harassment of another person; (d) engaging in activitythat involves the transmission of “junk mail” or unsolicited mass mailing or“spam” or harvesting or otherwise collecting personally identifiableinformation about our users, including names, phone numbers, addresses, oremail addresses without such individual’s prior consent; (e) engaging inactivity, or submitting content, or promoting information that is false,misleading, or promotes illegal activities or conduct that is abusive,threatening, obscene, defamatory, or libelous; (f) submitting content thatcontains restricted or password only access pages, or hidden pages or images;(g) submitting content that displays pornographic or sexually explicit materialof any kind; (h) submitting content that provides instructional informationabout illegal activities such as  buyingor making illegal weapons, violating someone’s privacy, or providing orcreating computer malware; (i) submitting content that contains viruses, Trojanhorses, worm, or any other similar forms of malware; (j) engaging in activitiesor submitting content that solicits passwords or personally identifiableinformation for unlawful purposes; (k) engaging in unauthorized commercialactivities or sales without prior written consent; (l) using any bot, spider,or any other automatic device or manual process to monitor, copy, or “scrape”web pages or the content contained in the Services or for any other unauthorizedpurposes without prior written approval; (m) using any device, software, orroutine to interfere, or to attempt to interfere, with the proper working ofthe Services; (n) decompiling, reverse engineering, or disassembling thesoftware underly the Services or attempting to do so; or (o) taking any actionthat imposes an unreasonable or disproportionately large load on the Servicesor our hardware and software infrastructure or that of any of our licensors orsuppliers. In addition, you shall not: (i) provide Arlow passwords or otherlog-in information to any third party; (ii) share non-public Arlow features or Content with any third party; (iii)access Arlow in order to build acompetitive product or service, to build a product using similar ideas, features, functions or graphics of Arlow,or to copy any ideas, features,functions or graphics of Arlow; or (iv) engage in web scraping or data scrapingon or related to Arlow, including without limitation collection of informationthrough any software that simulates human activity or any bot or web crawler. If Project Aging suspects that youhave violated the requirements of this Subsection, Project Aging may suspend youraccess to Arlow without advanced notice, in addition to such other remedies as ProjectAging may have. Project Aging isnot obligated to take any action against you or any other Arlowuser or other third party for violating these Terms, but Project Aging is freeto take any such action it sees fit.

7.2.    UnauthorizedAccess. Youagree to take reasonable steps to prevent unauthorized access to Arlow,including by protecting your passwords and other log-ininformation. You shallnotify Project Aging immediately if you knowof or suspect unauthorized useof Arlow or breach of its security.

7.3.   Compliance with Laws. In using Arlow, you shall complywith all applicable laws.

7.4.    Access to Arlow. You are responsible and liable for:(a) your use of Arlow, including unauthorized conduct through your account andconduct that would violate the requirements of these Terms; and (b) any use of Arlowthrough your account or passwords, whether authorized or not.

7.5.    Communications from Project Aging. Youconsent to receive email and/or text messages from Project Aging in connectionwith your use of Arlow. Standard text messaging charges required by your mobilecarrier will apply to text messages Project Aging send you.

7.6.    Medication and Health Information. Users areresponsible for ensuring that any medication, supplement, allergy, condition,pharmacy, insurance, cost, or health-related information they submit to Arlowis accurate, complete, and current. Arlow’s medication-related information maybe incomplete or incorrect if User-provided information is incomplete,inaccurate, outdated, or omitted. Users should promptly update medication andhealth-related information in Arlow when prescriptions, over-the-countermedications, supplements, dosages, allergies, diagnoses, pharmacies, insurancecoverage, or other relevant information changes.

8. INTELLECTUAL PROPERTY. Project Agingretains all right, title, and interest in and to Arlow, including withoutlimitation the App and all other all software used to provide Arlow and allgraphics, user interfaces, logos, and trademarks reproduced through Arlow, aswell as all Content other than Your Content. These Terms do not grant you anyintellectual property license or rights in or to Arlow or any of its components,except to the limited extent that these Terms specifically set forth yourlicense rights to the App or the Manual. You recognize that Arlow and itscomponents are protected by copyright and other laws.

9. DISCLAIMERS.

9.1.   Warranty Disclaimers. YOUR USE OF THEPLATFORM IS AT YOUR OWN RISK; TO THE FULLEST EXTENT OF THE LAW, PROJECT AGINGEXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. YOUAGREE THAT YOU ACCEPT THE PLATFORM “AS IS” AND AS AVAILABLE, WITH NOREPRESENTATION OR WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUTLIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULARPURPOSE, OR NONINFRINGEMENT OF INTELLECTUAL PROPERTY RIGHTS, OR ACCURACY, ORANY IMPLIED WARRANTY ARISING FROM STATUTE, COURSE OF DEALING, COURSE OFPERFORMANCE, OR USAGE OF TRADE. WITHOUT LIMITING THE GENERALITY OF THEFOREGOING: (a) PROJECT AGING HAS NO OBLIGATION TO INDEMNIFY OR DEFEND YOUAGAINST CLAIMS RELATED TO INFRINGEMENT OF INTELLECTUAL PROPERTY; (b) PROJECTAGING DOES NOT REPRESENT OR WARRANT THAT THE PLATFORM WILL PERFORM WITHOUTINTERRUPTION OR ERROR; (c) PROJECT AGING DOES NOT REPRESENT OR WARRANT THAT THE PLATFORM IS SECURE FROM HACKING OR OTHERUNAUTHORIZED INTRUSION OR THAT YOUR CONTENT WILL REMAIN PRIVATE OR SECURE; AND (d)PROJECT AGING DISCLAIMS ANY REPRESENTATION OR WARRANTY CONCERNING PRODUCTS ORSERVICES PROVIDED BY OTHER USERS OF THE PLATFORM OR OTHER THIRD PARTIES.

9.2.    Medication Dataand Source Limitations. Medication-related information available through Arlow may be based onUser-provided information, third-party sources, publicly available materials,third-party drug information databases, pharmacy or pricing information, andother external sources. Project Aging does not represent or warrant that anymedication-related information is complete, current, accurate, exhaustive,available, or applicable to any particular User. Medication names,formulations, dosage forms, strengths, routes of administration, interactioninformation, contraindications, warnings, pricing, availability, pharmacyparticipation, insurance coverage, formulary status, and generic or therapeuticalternatives may change and may vary by patient, pharmacy, prescriber, insurer,location, and other circumstances.

9.3.    Interactions withOther Users. Youagree that you are solely responsible for your transactions or otherinteractions, either through Arlow or through other means of communication,with other users of Arlow. You acknowledge that that Project Aging has noliability for any such interactions. Project Aging may monitor or becomeinvolved in disputes between you and other Users of Arlow but has no obligationto do so.

9.4.    Third-Party Sitesand Content. Youunderstand that Arlow may contain or send you links to third party websites,applications or features not owned or controlled by Project Aging (“Third-PartySites”), and that links to Third-Party Sites may also appear in Contentavailable to you through Arlow. The Platform may also enable interactionbetween Arlow and a Third-Party Site through applications that connect Arlow,or your profile on Arlow, with a Third-Party Site. Through Third-Party Sites youmay be able to access Content from third parties that Project Aging does notcontrol and/or share Your Content with others. YOU ACCESS THIRD-PARTY SITES ENTIRELYAT YOUR OWN RISK, AND PROJECT AGING WILL HAVE NO LIABILITY FOR YOUR USE OF ORACCESS TO THIRD PARTY SITES AND/OR THIRD-PARTY CONTENT.)

9.5.    Hold Harmless. TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU HEREBY RELEASE PROJECTAGING AND AGREE TO HOLD PROJECT AGING HARMLESS FROM ANY AND ALL CAUSES OFACTION AND CLAIMS OF ANY NATURE RESULTING FROM THE PROFESSIONAL SERVICES OR THEPLATFORM, INCLUDING, BUT NOT LIMITED TO, ANY ACT, OMISSION, OPINION, RESPONSE,ADVICE, SUGGESTION, INFORMATION, ALERT, CITATION, SOURCE, THIRD-PARTYMATERIALS, MEDICATION-RELATED INFORMATION, COST-SAVINGS INFORMATION, SERVICESOF ANY PROFESSIONAL OR ANY OTHER CONTENT OR INFORMATION ACCESSIBLE THROUGH THEPLATFORM.

 10. LIMITATION OF LIABILITY.

10.1.  Dollar Cap. PROJECT AGING’S CUMULATIVE LIABILTYFOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THETOTAL AMOUNT PAID BY YOU OR ON YOUR BEHALF IN THE TWELVE (12) MONTH PERIODIMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

10.2.  Excluded Damages. YOUUNDERSTAND, AGREE, AND ACKNOWLEDGE THAT PROJECT AGING WILL NOT BE LIABLE TO YOUOR TO ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL,PUNITIVE, OR EXEMPLARY DAMAGES.

10.3.  Clarifications& Disclaimers. THE LIABILITIES LIMITED BY THIS SECTION APPLY TO THE BENEFIT OF PROJECTAGING’S OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND THIRD PARTY CONTRACTORS, ASWELL AS: (a) TO LIABILITY FOR NEGLIGENCE; (b) REGARDLESS OF THE FORM OF ACTION,WHETHER IN CONTRACT, TORT, STRICT PRODUCT LIABILITY, OR OTHERWISE; (c) EVEN IF PROJECTAGING IS ADVISED IN ADVANCE OF THE POSSIBILITY OF THE DAMAGES IN QUESTION ANDEVEN IF SUCH DAMAGES WERE FORESEEABLE; AND (d) EVEN IF YOUR REMEDIES FAIL OFTHEIR ESSENTIAL PURPOSE. You acknowledge and agree that Project Aging has basedits pricing on and entered into these Terms in reliance upon the limitations ofliability and disclaimers of warranties and damages in these Terms and thatsuch terms form an essential basis of the bargain between the parties. Ifapplicable law limits the application of the provisions of this Section, ProjectAging’s liability will be limited to the maximum extent permissible.

11. THIRD-PARTYMATERIALS. Arlow mayinclude, display, summarize, cite, link to, or rely on materials, information,databases, publications, tools, websites, pricing information, druginformation, and other content sourced from third parties (“Third-PartyMaterials”). Third-Party Materials are provided for informational purposesonly. Project Aging does not control, endorse, verify, or guarantee Third-PartyMaterials and is not responsible for their accuracy, completeness, timeliness,availability, or continued accessibility. Citations or links to Third-PartyMaterials do not mean that Project Aging has independently validated theinformation for any particular User or circumstance. Users should review sourcematerials directly and consult a physician, pharmacist, or other qualifiedprofessional before relying on medication-related information.

12. TERM & TERMINATION.

12.1.  Term. These Terms will remain in full force and effect starting on theEffective Date and continue until terminated by either you or Project Aging.

12.2.  Termination. Eitherparty may terminate these Terms for any reason at any time. you may terminate theseTerms by closing your account. Project Aging may terminate these Terms bynotifying you in writing, including without limitation via text to your mobiledevice.

12.3.  Effects ofTermination. Upontermination of these Terms, you shall cease all use of Arlow. The followingprovisions will survive termination of these Terms: Sections 8 (Intellectual Property), 9 (Disclaimers), 10 (Limitation of Liability), and 13 (Miscellaneous); and anyother provision of these Terms that must survive to fulfill its essentialpurpose.

13. MISCELLANEOUS.

13.1.  Notices. ProjectAging may send notices to you by email or by text to your mobile device at theemail address or mobile number you provided, and such notices will be deemedreceived 24 hours after they are sent. You may send notices pursuant to theseTerms to Project Aging  by email to corporate@projectaging.ai, and such notices will bedeemed received 72 hours after they are sent.

13.2.  Assignment &Successors. You may notassign these Terms or any of your rights or obligations under these Termswithout Project Aging’s express written consent. Except to the extent forbiddenin this Section, these Terms will be binding upon and inure to the benefit ofthe parties’ respective successors and assigns.

13.3.  Severability. To the extentpermitted by applicable law, the parties hereby waive any provision of law thatwould render any clause of these Terms invalid or otherwise unenforceable inany respect. In the event that a provision of these Terms is held to be invalidor otherwise unenforceable, such provision will be interpreted to fulfill itsintended purpose to the maximum extent permitted by applicable law, and theremaining provisions of these Terms will continue in full force and effect.

13.4.  No Waiver. Neither partywill be deemed to have waived any of its rights under these Terms by lapse oftime or by any statement or representation other than by an authorizedrepresentative in an explicit written waiver. No waiver of a breach of theseTerms will constitute a waiver of any other breach of these Terms.

13.5.  Choice of Law: These Terms willbe governed solely by the internal laws of the State of New York, includingwithout limitation applicable federal law, without reference to: (a) anyconflicts of law principle that would apply the substantive laws of anotherjurisdiction to the parties’ rights or duties; (b) the 1980 United NationsConvention on Contracts for the International Sale of Goods; or (c) otherinternational laws. The parties consent to the personal and exclusivejurisdiction of the federal and state courts of New York, NY. This Subsectionand Subsection 12.8 (Dispute Resolution) below govern all claims arisingout of or related to these Terms, including without limitation tort claims. 

13.6.  Force Majeure. No delay,failure, or default, other than a failure to pay fees when due, will constitutea breach of these Terms to the extent caused by epidemics, acts of war,terrorism, hurricanes, earthquakes, other acts of God or of nature, strikes orother labor disputes, riots or other acts of civil disorder, embargoes,government orders responding to any of the foregoing, or other causes beyondthe performing party’s reasonable control.

13.7.  Entire Agreement. These Terms sets forth the entire agreement of the parties andsupersedes all prior or contemporaneous writings, negotiations, and discussionswith respect to its subject matter. Neither party has relied upon any suchprior or contemporaneous communications.

13.8.  Dispute Resolution. Any legal disputes or claims arising out of or related to these Terms(including without limitation claims related to the use of Arlow, the use ofthe Professional Services, the interpretation, enforceability, revocability, orvalidity of the Agreement, or the arbitrability of any dispute), that cannot beresolved informally shall be submitted to binding arbitration. The arbitration willbe conducted by the American Arbitration Association (“AAA”) under its ConsumerArbitration Rules, or as otherwise mutually agreed by you and Project Aging. Thearbitration shall be conducted in Fort Worth, Texas, unless otherwisemutually agreed by the parties. Any judgment on the award rendered bythe arbitrator may be entered in any court having jurisdiction thereof. Claims mustbe brought within the statute of limitations or other time required byapplicable law. You agree that you shall bring any claim, action or proceedingarising out of or related to the Agreement in your individual capacity, and notas a plaintiff or class member in any purported class, collective, orrepresentative proceeding. The arbitrator may not consolidate the claims ofmore than one person and may not otherwise preside over any form of a representative,collective, or class proceeding. YOU ACKNOWLEDGE AND AGREE THAT YOU ANDPROJECT AGING ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATEAS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION OR REPRESENTATIVEPROCEEDING IN ANY FORUM, INCLUDING WITHOUT LIMITATION CLASS-WIDE ARBITRATIONAND PRIVATE ATTORNEY-GENERAL ACTIONS.
